1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and GiRiNova X Private Limited (CIN: U62020JH2025PTC026271), operating the platform SmartHire247 ("Platform", "we", "us").
By registering, accessing, or using SmartHire247, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Eligibility
- You must be at least 18 years of age to create an account.
- You must provide accurate, complete, and up-to-date information during registration.
- One person may hold only one account per role (Candidate, Employer, Franchise, Admin).
- You must have the legal capacity to enter into a binding contract under Indian law.
- Entities (companies, firms) must be registered under applicable Indian law to use Employer or Franchise accounts.
3. Account Registration & Security
- You are solely responsible for maintaining the confidentiality of your login credentials.
- All activities conducted under your account are your responsibility.
- You must immediately notify us at support@smarthire247.com of any unauthorized access.
- We reserve the right to suspend accounts that show signs of unauthorized access or compromise.
- Sharing account credentials with third parties is strictly prohibited.
4. Terms for Candidates
4.1 Profile Accuracy
- All information in your profile must be truthful, accurate, and verifiable.
- Fake degrees, certifications, work experience, or skills will result in immediate account suspension and may be reported to authorities.
- Your uploaded resume becomes part of your SmartHire247 profile and may be shared with employers you apply to.
4.2 Job Applications
- Applying for a job shares your profile (name, skills, resume, SmartHire Score) with the employer.
- SmartHire247 facilitates connections — we do not guarantee job placement, salary levels, or interview outcomes.
- Interview scheduling and final hiring decisions are between you and the employer.
4.3 AI Features
- SmartHire Score, AI Mock Interview scores, resume suggestions, and skill gap analyses are automated and indicative — not definitive assessments.
- Always review AI-generated content before using it professionally.
4.4 Verification
- Identity verification (Aadhaar/DigiLocker) is optional but improves your trust score and employer visibility.
- Submitting fraudulent or someone else's documents is a criminal offense and will be reported to law enforcement.
4.5 Referral Program
- Earn rewards by referring friends who register and achieve placement.
- Self-referrals, fake referrals, or gaming the referral system will result in reward forfeiture and account suspension.
- Referral rewards are subject to applicable Indian taxes (TDS where applicable).
5. Terms for Employers
5.1 Job Posting
- All job postings must be for genuine, legal employment opportunities.
- Misleading salary information, fake companies, or discriminatory requirements are strictly prohibited.
- Jobs are subject to admin review and may be flagged or removed by our AI fraud detection system.
- Required job posting fields: title, description, location, salary range, and skills.
5.2 Candidate Data Usage
- You may only access candidate data for applicants to your posted jobs or candidates who explicitly consent.
- Candidate data must not be shared, sold, or used outside SmartHire247.
- Bulk downloading or scraping of candidate profiles is strictly prohibited and will result in legal action.
5.3 Verification Credits
- Credits are used for candidate background verification.
- Credits are non-refundable once consumed.
- Unused credits remain valid for 12 months from purchase date.
5.4 Placement Commission
- SmartHire247 charges a placement commission of 8.5% of the candidate's first annual CTC for successful placements facilitated through the Platform.
- Commission is invoiced after the candidate completes 30 days of employment.
- Failure to pay within 15 days of invoice will result in account suspension and potential legal action.
6. Terms for Franchise Partners
6.1 Franchise Registration
- Franchise registration is subject to admin approval and background verification.
- Partners must operate training centers in compliance with SmartHire247 quality standards.
- Use of the SmartHire247 brand, logo, and materials requires an active franchise agreement.
6.2 Revenue Sharing
- Course Fees: 70% to franchise partner, 30% to SmartHire247.
- Royalty Fee: 15% of gross revenue, payable monthly.
- Marketing Fund: 2% contribution for national-level campaigns.
- Payouts processed on a monthly cycle with minimum threshold of ₹1,000.
6.3 Quality Standards
- Maintain a minimum placement rate of 60% for active batches.
- Provide required infrastructure (computers, internet, classroom space).
- Participate in quarterly quality audits by SmartHire247.
- Fabricated placement claims will lead to immediate franchise termination.
7. Acceptable Use Policy
You agree NOT to:
- Post fake, misleading, or fraudulent content (jobs, profiles, reviews).
- Attempt to hack, scrape, reverse-engineer, or disrupt the Platform.
- Use the Platform for illegal activities, discrimination, harassment, or spam.
- Impersonate another person, company, or entity.
- Circumvent security measures, rate limits, or access controls.
- Use bots, automation, or scripts without explicit authorization.
- Upload malicious files, viruses, or harmful code.
8. Intellectual Property
- All content, designs, logos, AI algorithms, source code, and features on SmartHire247 are the intellectual property of GiRiNova X Private Limited.
- The SmartHire247 name, logo, and brand marks are trademarks of GiRiNova X Private Limited.
- You may not reproduce, distribute, modify, or create derivative works without prior written consent.
- User-generated content (profiles, resumes) remains your property, but you grant us a non-exclusive license to use it for platform operations.
9. Payment & Subscriptions
- All prices are displayed in Indian Rupees (INR) unless otherwise stated.
- Payments are processed securely through Razorpay (or equivalent authorized payment gateway).
- Subscription fees are billed in advance and non-refundable for the current billing period.
- You may cancel subscriptions at any time — access continues until the end of the billing cycle.
- GST (18%) is applicable on all paid services as per Indian tax law.
10. Termination
- You may delete your account at any time from your dashboard settings.
- We reserve the right to suspend or terminate accounts that violate these Terms.
- Accounts inactive for more than 12 months may be deactivated after notice.
- Upon termination, your data will be deleted within 30 days (except where legal retention is required).
- Termination does not release you from any outstanding payment obligations.
11. Limitation of Liability
To the maximum extent permitted by Indian law:
- SmartHire247 is provided "as is" without warranties of any kind.
- We do not guarantee employment, placement, salary levels, or interview outcomes.
- We are not liable for decisions made based on AI recommendations or scores.
- Our total liability shall not exceed the amount paid by you in the preceding 12 months, or ₹10,000, whichever is lower.
- We are not responsible for outages, data issues, or problems caused by third-party service providers.
12. Indemnification
You agree to indemnify and hold harmless GiRiNova X Private Limited, its directors, officers, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Platform in violation of these Terms.
- Any content you upload or submit to the Platform.
- Your violation of any third-party rights.
- Any fraudulent or illegal activity conducted through your account.
13. Dispute Resolution
- All disputes shall first be attempted to be resolved through mediation.
- If mediation fails, disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.
- The seat of arbitration shall be Ranchi, Jharkhand.
- These Terms are governed by the laws of India.
- Courts in Ranchi, Jharkhand shall have exclusive jurisdiction.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email and/or platform notification at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
